The website located at https://cofina.ai and any related pages, subdomains, tools, forms, demos, content, and services made available on or through it (collectively, the "Site") is a copyrighted work owned and operated by CoFina.ai, Inc. ("CoFina," "we," "us," or "our"). Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features (the "Supplemental Terms"). All Supplemental Terms are incorporated by reference into these Terms.

THESE TERMS OF SERVICE (THESE "TERMS") SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

The Site is intended solely for business, commercial, and professional use by companies and other entities. The Site is not intended for personal, family, or household use, and we do not target or market the Site or our offerings to consumers as defined under applicable consumer protection laws.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 13. PLEASE READ CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

1. Agreement Structure; Privacy Policy

1.1 Privacy Policy. Any personal data you submit to us, or which we collect about you, is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Site, you acknowledge you have reviewed and understood the Privacy Policy.

1.2 Relationship to Separate Customer Agreements. Use of CoFina's paid products or services, if any, may be governed by a separate written subscription agreement, master services agreement, order form, statement of work, or similar agreement ("Customer Agreement"). A Customer Agreement is separate from and not incorporated into these Terms. If you are a customer and there is a conflict between these Terms and a Customer Agreement, the Customer Agreement controls with respect to the paid products or services covered by it.

1.3 Effective Date. These Terms are effective as of the date you first access or use the Site.

2. Eligibility; Authority; Business Use Only

2.1 Eligibility. You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) and capable of forming a binding contract to use the Site.

2.2 Authority. If you access or use the Site on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

2.3 Business Use Only. You represent and warrant that you are accessing and using the Site solely for business, commercial, or professional purposes, not for personal, family, or household use.

3. Access to the Site; Accounts; Security

3.1 Access. Subject to these Terms, CoFina grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business purposes.

3.2 Accounts. Certain Site features may require registration and creation of an account (an "Account"). You agree to provide accurate, current, and complete information, and to promptly update it if it changes.

3.3 Account Owner. The person or entity that registers for an Account is the contracting party and is responsible for the Account (the "Account Owner"). If you register on behalf of an entity, the entity is the Account Owner.

3.4 Credentials and Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account, whether or not authorized by you. You agree to promptly notify us of any suspected unauthorized use or security incident related to your Account.

3.5 No Shared Access. Unless expressly permitted by us in writing, you may not sell, transfer, sublicense, or share your Account credentials with any third party.

4. Permitted Use; Prohibited Conduct

4.1 Permitted Use. You may use the Site only as permitted by these Terms and applicable law.

4.2 Prohibited Conduct. You agree not to, and not to permit any third party to:

  • Copy or exploit the Site or Site content except as expressly permitted by these Terms;
  • License, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site;
  • Modify, translate, adapt, or create derivative works of the Site or any portion of it;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, algorithms, structure, or organization of the Site;
  • Access the Site to build a competing product or service or to benchmark for competitive purposes;
  • Use automated tools to access, monitor, or copy any portion of the Site without our prior written consent;
  • Interfere with or disrupt the Site, servers, or networks;
  • Attempt to gain unauthorized access to the Site, Accounts, systems, or data;
  • Upload or transmit malware or any code intended to damage, disrupt, or alter systems or data;
  • Transmit spam or unsolicited communications;
  • Impersonate any person or entity or misrepresent affiliation;
  • Violate any applicable law or third party rights;
  • Use the Site in a manner that threatens security or the proper functioning of the Site.

4.3 Enforcement. We may investigate suspected violations and may suspend or terminate access to the Site at any time in our sole discretion, with or without notice.

5. Intellectual Property; Ownership

5.1 Ownership. The Site and all content and materials on the Site, including text, graphics, logos, icons, software, page layout, and underlying code (collectively, "Site Content"), are owned by CoFina or its licensors and are protected by copyright, trademark, and other laws.

5.2 No Implied Licenses. Except as expressly granted, no rights are granted to you under these Terms, and we reserve all rights not expressly granted.

5.3 Trademarks. CoFina trademarks, logos, and service marks are owned by CoFina. You may not use them without our prior written permission.

6. User Content; Feedback

6.1 User Content. If the Site allows you to submit content (including prompts, text, files, or other materials) ("User Content"), you represent and warrant that you have all rights necessary to submit such User Content and that it does not violate law or third party rights.

6.2 License to Operate the Site. By submitting User Content, you grant CoFina a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and process your User Content solely as reasonably necessary to operate, secure, support, and improve the Site and related features.

6.3 Feedback. If you provide suggestions, ideas, or feedback ("Feedback"), you agree that (a) Feedback is non-confidential, (b) CoFina may use it without restriction or compensation, and (c) you hereby grant CoFina a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, reproduce, modify, and otherwise exploit such Feedback.

7. Third Party Links; Third Party Services

7.1 Third Party Links. The Site may contain links to third party websites or services ("Third Party Links"). We do not control and are not responsible for Third Party Links. Use of Third Party Links is at your own risk, and the third party's terms and privacy practices apply.

7.2 Third Party Accounts and Integrations. The Site may allow you to connect third party accounts or services. You represent that you are authorized to provide access and that doing so does not breach your agreements with such third parties. CoFina is not responsible for third party services.

8. Billing; Payments; Taxes

8.1 Site Access Generally. Certain parts of the Site may be provided without charge. If we offer paid plans or paid features through the Site, the following terms apply unless superseded by a Customer Agreement.

8.2 Pricing and Changes. Pricing and payment terms are determined by CoFina in its sole discretion. We may change pricing or features at any time, subject to any notice requirements under applicable law or a Customer Agreement.

8.3 Payment Authorization. You authorize us (and our payment processors) to charge the payment method you provide for all applicable fees, taxes, and charges.

8.4 No Refunds. Unless required by law or expressly stated in writing by CoFina, payments are non-refundable and there are no refunds or credits for partial periods.

8.5 Taxes. You are responsible for all applicable taxes related to your use of paid features, excluding taxes based on our net income.

9. Confidentiality

If you receive non-public information from CoFina through the Site that is identified as confidential or that reasonably should be understood as confidential ("Confidential Information"), you agree to use it only for the permitted purpose of evaluating or using the Site and to protect it using reasonable care. This section does not apply to information that is public through no fault of yours or independently developed without use of Confidential Information.

10. AI and Informational Disclaimers

10.1 No Professional Advice. The Site may include content related to finance, accounting, tax, compliance, fundraising, or operations. NO INFORMATION ON THE SITE IS INTENDED TO BE, OR SHOULD BE RELIED UPON AS, ACCOUNTING, TAX, LEGAL, INVESTMENT, OR OTHER PROFESSIONAL ADVICE. You are responsible for obtaining advice from qualified professionals.

10.2 AI Features. The Site may provide AI-enabled tools or outputs. AI outputs may be inaccurate, incomplete, outdated, or inappropriate for your situation. You agree that you will independently review and validate outputs before relying on them, especially for decisions involving money, taxes, legal compliance, hiring, fundraising, or contracts.

10.3 User Responsibility. You are solely responsible for your decisions and actions based on the Site, including any AI output or other content.

11. Disclaimers

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND COFINA (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components. You assume all risk arising from your use of the Site.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COFINA (OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFINA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) FIFTY U.S. DOLLARS (US $50) OR (B) THE AMOUNT YOU PAID TO COFINA FOR SITE ACCESS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Dispute Resolution; Arbitration; Class Action Waiver

13.1 Informal Resolution First. Before starting arbitration or a legal proceeding, you agree to contact us at legal@cofina.ai and provide a brief written description of the dispute and your contact information. The parties will attempt in good faith to resolve the dispute informally within thirty (30) days.

13.2 Binding Arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your relationship with CoFina will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its rules then in effect, except as modified by these Terms.

13.3 Seat; Language; Procedure. Unless the parties agree otherwise, the arbitration will take place in San Francisco, California, will be conducted in English, and the arbitrator may allow reasonable exchange of information consistent with the expedited nature of arbitration.

13.4 Exceptions. Either party may seek injunctive or equitable relief in court to prevent actual or threatened infringement or misappropriation of intellectual property rights. You may bring eligible claims in small claims court if they remain individual and within that court's jurisdiction.

13.5 Class Action Waiver. YOU AND COFINA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of class proceeding.

14. Term; Suspension; Termination

14.1 Term. These Terms remain in effect while you access or use the Site.

14.2 Suspension or Termination by CoFina. We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violations of these Terms or conduct that may create risk for CoFina or others.

14.3 Effect of Termination. Upon termination, your right to use the Site ends immediately. We may delete data associated with your Site usage in the ordinary course, subject to applicable law and our Privacy Policy.

14.4 Survival. Sections that by their nature should survive will survive termination, including Sections 5 through 13 and 15 through 18.

15. Modifications to the Site

We may modify, suspend, or discontinue the Site (in whole or in part) at any time, with or without notice. You agree that we will not be liable for any modification, suspension, or discontinuation.

16. Governing Law

Except to the extent preempted by the Federal Arbitration Act, these Terms are governed by the laws of the State of California, without regard to conflict of law principles.

17. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws, including U.S. laws administered by OFAC and the U.S. Department of Commerce. You represent that you are not located in a sanctioned jurisdiction and not on any restricted party list.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any Supplemental Terms, constitute the entire agreement regarding your use of the Site and supersede prior understandings regarding the Site.

18.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

18.3 No Waiver. Failure to enforce any provision is not a waiver.

18.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

18.5 No Agency. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship.

18.6 Headings. Headings are for convenience only and do not affect interpretation.

18.7 Electronic Communications. You consent to transact electronically and agree that electronic notices satisfy legal writing requirements.
